Doriva Platform Terms of Use

We reserve the right to amend these Platform Terms at any time by providing you with reasonable prior notice. We will publish the latest, fully-amended version on the Platform. You are responsible for regularly reviewing the Platform for amendments. If any amendment is unacceptable to you, you may terminate your agreement prior to the effective date. If you continue to use the Platform after the effective date of each amendment, you will be conclusively deemed to have accepted such amended version.

You acknowledge that you have read the Privacy Policy as it may be updated from time to time, and hereby consent to the collection, use and disclosure by us and our agents of your personal information for the purposes identified therein. The Privacy Policy is incorporated herein by reference and forms an integral part hereof.

If you are a Landlord or Agent, you acknowledge that the Privacy Policy governs Doriva's collection, use and disclosure of personal information through the Platform only. To the extent that you collect or process any personal information obtained through the Platform beyond the scope of the Privacy Policy, you are solely responsible for ensuring you have obtained all requisite consents and authorizations, and you shall indemnify and hold Doriva harmless from any claims arising from your failure to do so.

Subject to these Platform Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, limited license to use the Platform. With respect to any materials obtained from the Platform, you may not, without our prior written consent:

1. modify, copy, reproduce or create derivative works of such materials, except as explicitly provided;
2. use the materials to develop models or services that compete with Doriva, scraping or reselling Content, or distilling model data;
3. distribute or transmit the materials except as explicitly permitted;
4. publicly display, publish or perform the materials;
5. create derivative works from, transfer, or sell any materials;
6. attempt to decompile or reverse engineer any software or database contained in or accessed through the Platform; or
7. remove any copyright or other proprietary notations.

All rights not expressly granted to you are reserved by us and, if applicable, our licensors. You are permitted to refer to the Platform through email, social media, or other similar methods, provided that you do not imply any affiliation or portray us in a false, misleading, derogatory or otherwise defamatory manner.

The license type varies by user role: Renters receive a license for personal, non-commercial purposes. Landlords and Agents receive a license for transitory, commercial purposes. The same restrictions apply to all three roles.

Your use of the Platform may require an Account. When you create an Account, you will be asked to provide certain information subject to our Privacy Policy.

You are solely responsible for (i) your Account and the maintenance, confidentiality and security of your Account and all passwords; and (ii) any and all activities that occur under your Account, including activities of persons who gain access with or without your permission.

Renters must not register for an Account on behalf of any individual other than themselves. Landlords and Agents must not register on behalf of any entity unless duly authorized to do so.

You agree to immediately notify us of any unauthorized use of your Account or any breach of security, and to provide true, current, accurate and complete information as requested.

You agree we may update your information with information that your bank or credit card issuer may supply, or other information available to us. All such personal information is subject to the Privacy Policy.

In these Platform Terms:

• "Content" means all materials and content, Inputs, Output, including designs, text, graphics, audiovisual materials, photographs, videos, software, information, data and any other work;
• "Inputs" means any data, information, text, files, documents, images or other Content submitted by you to or through the Platform;
• "Output" means Content generated by artificial intelligence as part of the Platform.

Our Content

All right, title and interest in the Platform and all Content forming any part of the Platform is fully vested in us, our licensors or our suppliers and are protected by applicable copyrights, trademarks, patents, trade secrets or other proprietary rights and laws.

Third Party Content

Content accessed through the Platform or the internet may be owned by parties other than you or us and may be protected by applicable intellectual property laws. Nothing in your use of the Platform grants you any right to Third Party Content.

Your Content

We do not claim ownership of any Content that you post or submit using the Platform. However, by submitting Your Content, you grant us a royalty-free, non-exclusive, worldwide, fully paid-up, irrevocable license to use, copy, distribute, transmit, display, edit, delete, publish and translate Your Content to the extent reasonably required to provide and improve the Platform. You confirm you have all necessary rights and authority to grant such license.

To the maximum extent permitted by law, you irrevocably waive any moral rights you may have in Your Content in favour of Doriva.

Deletion and Retention

We may retain copies of Your Content for archival or compliance purposes even after you delete your Account. You are exclusively responsible for determining the accuracy, suitability, harmfulness or legality of any content you send or receive using the Platform.

Feedback

All comments, ideas, suggestions and impressions of the Platform given by you to us are deemed to be our property, and by submitting Feedback you assign to us all right, title and interest therein.

Trademark Notice

The trademarks, logos, and service marks displayed on or through the Platform are the property of Doriva, its licensors or other third parties. You are not permitted to use them without our prior written consent. DORIVA is a registered or common law trademark of Doriva in Canada.

We have adopted a policy of terminating, in appropriate circumstances, users who are deemed to be repeat infringers of intellectual property.

Proper Conduct (Things You Must Do)

1. You must only use the Platform for lawful purposes;
2. If you become aware of any violation by any person or entity under your control, you must immediately notify us;
3. If you are a Landlord or Agent, you shall comply with all applicable human rights legislation, residential tenancy laws, and any other applicable laws in connection with your use of the Platform; and
4. If you use any feature that accepts Inputs, you shall ensure all Inputs are true, accurate, complete and not misleading.

Prohibited Conduct (Things You Must Not Do)

You agree that you will not, in connection with the Platform, directly or indirectly:

1. Post, upload or transmit Content that is spam, contains viruses, is defamatory, unlawful, obscene, incites hatred, or violates the rights of others;
2. Engage in threats, harassment, intimidation, stalking or abuse;
3. Scan or probe another computer system, or engage in unauthorized trespass;
4. Forge headers or manipulate protocols to disguise the origin of data;
5. Impersonate any person or falsely represent your association;
6. Disrupt or threaten the integrity, operation or security of any service;
7. Disable or circumvent any access control or security process;
8. Intentionally submit data designed to manipulate, bias, or corrupt any AI system used by the Platform;
9. Sublicense, share, resell, or redistribute any portion of the Platform except where authorized;
10. Harvest, scrape or collect personal information about others without their express consent; or
11. Use any robot, spider, crawler or other automated means to access the Platform or extract data.

If you are a Landlord or Agent, these Platform Terms are subject to the separate subscription, placement, partnership or services agreement (the "Subscription Agreement") governing your access to and use of the Platform, including any payment obligations. In the event of any conflict between these Platform Terms and the Subscription Agreement, the Subscription Agreement shall prevail.

Renter Termination: We may, in our sole discretion, decline to renew your subscription and terminate your use of the Platform, including your Account and Your Content, without notice, for any reason.

Landlord and Agent Termination: Subject to the Subscription Agreement, we may suspend, restrict or terminate your use of the Platform without notice, for any reason.

You acknowledge that termination may result in restrictions, disruptions or cessation of access to your Account and Your Content, and you agree to release us from any and all liability and claims of loss resulting therefrom.

AI-Based Limitations

The Platform utilizes artificial intelligence and machine learning technologies. You acknowledge and agree that: (i) Outputs may contain inaccuracies; (ii) we do not guarantee the accuracy or fitness for any purpose of any Output; (iii) Outputs do not constitute professional advice; (iv) you are solely responsible for evaluating and verifying any Output; (v) we have no liability arising from your reliance on any Output; (vi) Outputs may not be unique; (vii) all right, title and interest in Outputs vest in Doriva; (viii) you are responsible for ensuring your use of Output complies with all laws; (ix) Outputs may reflect inherent limitations of AI including algorithmic bias; and (x) Doriva is a technology platform provider only and does not participate in or make decisions regarding tenant selection.

No Trading Services

The Platform is a technology platform only and neither Doriva nor the Platform provides, facilitates or constitutes 'trading services' as defined under the Real Estate Services Act (British Columbia). Nothing in these Terms shall be construed as Doriva acting as a real estate agent.

No Party to Agreements

Any rental, lease or tenancy agreement entered into as a result of using the Platform is solely between the applicable Landlord and Renter. Doriva is not a party to any such agreement and has no obligations or liability thereunder.

Disclaimer of Warranties

Subject to applicable law, we make no warranties or representations about the suitability, reliability, security, quality, performance, availability, timeliness or accuracy of the Platform. To the maximum extent permitted by law, we expressly disclaim all warranties, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement.

Limitation of Liability

Subject to applicable law, in no event will we be liable for any direct, indirect, special, incidental, consequential or punitive damages, or any other damages or losses whatsoever, including damages for loss of profits, goodwill, opportunity, earnings, use or data, arising from or related to these Platform Terms or the Platform, regardless of the cause of action and even if advised of the possibility of such damages.

Indemnity

You agree to indemnify and hold us harmless from all liabilities, claims, damages, costs and expenses arising from your access to or use of the Platform, or any breach of these Platform Terms.

If you are a Landlord or Agent, you additionally agree to indemnify us against any claims arising from your decisions regarding the selection, approval or rejection of any prospective tenant, whether or not such decisions were informed by any Output generated by the Platform.

• Waiver of Rights: Our failure to enforce any provision will not constitute a waiver. Our rights and remedies are cumulative and in addition to any right available at law or in equity.
• Severability: If any provision is determined invalid or unenforceable, such invalidity attaches only to that provision; all other provisions continue in full force.
• Notifications: We may provide notifications via email, in hard copy, through your Account, or by posting on the Platform.
• Governing Law: These Platform Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.
• Jurisdiction: You irrevocably consent to the jurisdiction of the courts of British Columbia. (If you are a consumer subject to the Quebec Consumer Protection Act, this provision does not apply.)
• Assignment: We may assign our rights and obligations at any time. You may not assign without our prior written consent.
• Survival: All provisions intended to survive termination shall survive.
• Relationship: No joint venture, partnership, employment or agency relationship exists between us and you.
• Entire Agreement: These Platform Terms, together with the Subscription Agreement (if applicable), constitute the entire agreement between us and supersede all prior agreements.
